(CS) is a large Japanese non-bank financial services company with an AUM of USD30bn engaging in credit card issuing/acquiring, SME financing, real estate financing, and various Fintech investments and alternative finance. Over the recent years, Credit Saison has been successfully ramping up its private debt investments in Southeast Asia and India, offering senior debt capital to new age lenders, Fintech startups, and tech platforms (embedded finance) with a primary focus on the tech-led innovation and financial inclusion. In February 2023, Credit Saison Brazil Participacoes Sociedade Limitada (CSBR) was established as a subsidiary with the aim of expanding its business in the country by investing in FIDC quota investments. -Responsibilities- 1.Corporate: Manage all Corporate Legal (Societário) matters, including tax and labor, and ensuring compliance with all applicable legislations and regulatory requirements, as well as all internal policies and procedures Lead the company's day-to-day corporate and commercial legal demands, including drafting, reviewing and negotiating corporate documents (including resolutions, constitutional and other internal approval documents) and commercial contracts of various types and complexities, in each case to align with local and IHQ requirements Conduct basic legal due diligence of commercial contracting parties (where applicable), and liaising with external counsels on commercial and corporate matters, including the issue of legal opinions 2.Compliance: Review and monitor compliance with internal policies, standards and operational procedures Review, monitor and ensure compliance with regulatory obligations, including updates from time to time (e.g. BACEN, CVM and Anbima) Review and draft or update internal policies and operational procedures. 3. General: Assessing legal and regulatory risks and recommending suitable solutions for business needs Conduct analysis and provide legal advice to, and managing relationships with, stakeholders (both locally and overseas), in particular ensuring Country Manager and reporting authority (if different) are kept informed of relevant issues and progress from time to time Work with other Saison legal counsels (both locally and overseas) to ensure the corporate legal function is running at optimal level Such other duties as may be assigned to Corporate Legal Counsel from time to time. -Skills and Qualifications- Native or bilingual proficiency in Portuguese & English (CEFR C1 or above) Active OAB membership Solid experience in corporate law Solid knowledge and experience in drafting, reviewing and negotiating commercial contracts and corporate documents, and providing timely response to contractual legal queries Excellent written and verbal communication skills, as well as a good ability to liaise with different counterparties in various areas High analytical skills and logical structure when presenting work and participating in meetings Proactivity, availability and autonomy in carrying out responsibilities, with assertive communication and constant alignment with leaders Proven ability to carry out tasks in parallel, with great attention to detail Advanced skills in the Microsoft Office package Ability to coordinate diverse work with specialized external offices Project management skills, and ability to coordinate multiple internal and external stakeholders.
