Who we're looking for
Zendesk is seeking Counsel for its Commercial Legal team to oversee Legal support of Zendesk's Global Procurement organization!
Primary responsibilities include management of vendor/supplier negotiations and related privacy document reviews, as well as management of Zendesk's standard Procurement-related contract templates, playbooks, and processes.
This role will also interact with another lawyer similarly dedicated to the support of global Procurement needs.
This role will have primary ownership of business partner relationships across Zendesk's global Procurement org.
This role will also support other Commercial Legal functions as required and as bandwidth allows, support other revenue-generating transactions, strategic projects, and cross-departmental collaborations.
This position is remote and based in São Paulo, Brazil.
What you'll be doing
- Oversee Commercial Legal's support of Zendesk's global Procurement organization and handle the full transaction lifecycle from drafting to execution, including contract generation, redlining, exhibit coordination, approval escalation, record management and post-execution support.
- Develop and maintain Procurement-related contract templates, playbooks and processes that facilitate Legal's support of Zendesk's purchasing and vendor engagement across the globe.
- Serve as Legal's primary point of contact to Procurement business leaders and team members.
- As time permits around core duties with Procurement, support other Commercial Legal functions as needs arise and bandwidth allows, including support of other revenue-generating transactions, strategic projects, and cross-departmental collaborations.
- Participate in training of Procurement and other company personnel regarding Commercial Legal operations and processes.
- Work on various other projects to improve the Commercial Legal practice as needs arise.
What you bring to the role
- Licensed to practice law in Brazil (OAB).
- 8+ years of substantive commercial transactions experience, including relevant experience with vendor or supplier negotiations, preferably in-house at a SaaS technology company.
- Experience with privacy and data protection laws, regulations, and standards applicable to technology companies, including GDPR, LGPD, and CPRA+.
- Expertise in drafting and negotiating a wide variety of vendor commercial agreements typical to the technology sector, such as MSAs/SOWs, Purchase Agreements, Evaluation Agreements, Services Agreements, Data Processing Agreements, and technology partnership agreements.
- Ability to work collaboratively with Procurement, Finance, and Security teams.
- Strong executive presence to own high-level business partner relationships.
- Ability to lead a process from start to finish and implement processes independently.
- Experience developing and maintaining efficient processes for a busy Commercial Legal team.
