CORE and Global Services (CGS) is a group of legal professionals working and supporting different legal areas such as Compliance, Regulatory Offerings, Ethics, Procurement, Corporate Matters and the Services Areas aligned with the new offerings and technologies such as Strategy & Consulting, Interactive, Technology, Security and Operations.
Entity Matters Role Summary – To support the management of more than 700 Accenture entities in more than 70 countries by tracking entity information such as shareholders, directors, officers, subsidiaries and changes thereto; managing related company records such as constituent documents, shareholder/board minutes, powers of attorney, registrations, etc.; and using the foregoing information to produce reports, organizational charts and other material needed to comply with local and global regulatory requirements. Assist with corporate secretarial activity such as approval of annual accounts, changes to directors and officers and management of powers of attorney. To manage various projects related to entity maintenance; and work with and maintain our main state of the art technologies and solutions including Global Entity Management System (GEMS), SharePoint, etc.
KEY RESPONSIBILITIES:
Generic Responsibilities:

Understand the CORE areas
Understand relevant company policies
Understand corporate governance and company act
Understand basic corporate concepts and transactions such as share transfer, liquidations, mergers, etc.
Draft corporate documents such as minutes, powers of attorneys, etc.
Coordinate review, approval and implementation of changes in entity information and corporate structure
Develop subject-matter expertise in the concerned support area
Act as a POC for support area
Understand and suggest process improvements in the support area
Assist team in drafting checklists and process documents
Directly liaison with internal stakeholders on various issues
Manage SharePoint and communication records
Identify and support any specific trainings for the team
Support implementation of new initiatives in CORE support area or within Legal/GLN
Build credible and effective relationships with onshore counsels and within GLN team
Support recruitment efforts for the team
Supervise resources, and assist GLN Team Lead in people management, as required
Provide coaching and mentoring to junior members of the team
Provide individuals with positive and developmental feedback
Try to 'give back' to GLN/Legal.

Specific Responsibilities aligned to Role:

Take responsibility for maintaining the accuracy and completion of entity data and records: ensure accuracy of GEMS records in respect of entities and their ownership, subsidiaries, directors & officers and basic information (such as registered address, company registration number, date formed/acquired…) by, namely:
Active participation in the quarterly GEMS QA process and all other processes in place for keeping GEMS Current, Correct and Complete such as monthly monitoring and follow ups to resolve inconsistencies between GEMS appointment records and HR records, follow up for supporting evidencing documentation in respect of AP67-approved structural changes and of recent Ventures & Acquisitions transactions etc.;
Receiving and completing requests through the E-Quest tool (tool for management of requests relating to entity data) and whenever required; this includes data entry, document uploads and provision of information (including documents, entity organizational charts and reports);
Participation and oversight of projects related to GEMS maintenance, such as GEMS data clean-up projects.
Assisting, advising and performing legal due diligences for geographic expansions and for work in countries considered "high risk" under Accenture Policy 55 (internal Accenture Policy setting out conditions and the review process for performing cross-border work). This responsibility will require the candidate, once onboarded to, namely (among other responsibilities coming up as the role is further defined):
Thorough understanding of Policy 55 (applicability, considerations, risks, review process…) and keep up-to-date with any updates/developments in respect of same;
Understand and identify risks of doing cross-border work from a corporate and regulatory perspective and the safeguards to be put in place to mitigate those risks, and articulating relevant conditions/caveats in a pragmatic and clear way for the benefit of the project team;
Thoroughly understand standard Accenture offerings as well as "new" offerings such as Industry X, digital services, AI and how they might be regulated in different countries;
Converse with project teams to understand the current opportunity or project and work closely with Policy 55 coordinator;
As and when required, reach out to local external counsel to seek advice on local company law or other applicable law to identify the risks and consequences of performing the services onshore in the case at hand; while doing so, fulfil any administrative or compliance responsibilities in relation to the onboarding of the law firm as an Accenture supplier (including compliance checks and risk assessments) in conjunction with the Procurement team, and coordinating with regards to the settlement of the counsel's invoices, in conjunction with AP team;
Understand considerations from Global Tax, Employment Tax & Immigration, Global Assistance and Protection and Treasury perspectives whilst reviewing AP55 requests, and provide Geo Legal advice and conditions coherent with the above perspectives.
Assist with AP67 coordination process.
Developing and maintaining trusted working relationships with key individuals and SME's regionally e.g., Treasury, Tax, Controllership, GAP, Local Legal Groups, and External Counsel from all countries.
Draft and implement corporate documentation for entities within region (Articles of Associations and By-Laws; Minutes of Board and Shareholders Meetings; Powers of Attorney and Proxies; Recapitalization documentation) and ensure signature coordination and authentication coordination of same.
Manage corporate secretarial matters, including documentation necessary to appoint/dismiss Directors and other Corporate Officers, holding of Annual General Meetings.
Maintenance of "Entity Matters" information for responsible countries.
Instruct External Counsel resources on specific projects.
Support the team with matters relating to ensuring Policy compliance, research and advisory matters.
Liaise with internal and external stakeholders on various legal and commercial issues.
Competent in building credibility and effective relationships within Legal team and with business and/or external Clients (as applicable);
Escalate appropriately where needed and coordinate matters with internal and external stakeholders to find solutions.
Coordinate and undertake legal assessments on regional/global projects, policies and compliance initiatives.
Identify process improvements in Entity Matters or Corporate Functions domains and lead team in developing/drafting of guidelines, handbooks, know how material, checklists and process/tools associated documents (global/regional and local) for standardizing the process.
Supervision of junior team members and quality of data in GEMS.
Making use of GEMS capabilities and raising awareness of GEMS-related topics within the wider Legal team e.g. through presentations and the drafting of postcards.

EDUCATION AND QUALIFICATIONS:
Education:

Bachelor's degree in Law

Certifications and Membership:

Compliance related global professional certification considered a plus

Work Experience:

Corporate law and/or company secretary experience preferred;
Minimum of 3-4 years of experience at law firm or as in-house counsel and/or in legal outsourcing

Work Requirements:

Fluency in English (and other language, depending on geography supported) with strong oral and written communication skills

Basic understanding of corporate law and company secretary required

Effectively manage priorities and stakeholder expectations
Build trust-based relationships by delivering on commitments
Demonstrate good oral and written communication skills and an ability to provide appropriate advice
Able to effectively influence senior leadership
