Responsibilities
Draft and negotiate transactional and product agreements, amendments and related documents such as guarantees, collateral, and notices;
Draft and negotiate service agreements, amendments, and related documents such as notices and other communications;
Prepare corporate legal documents and amendments for Banco Société Générale Brasil S.A. group in Brazil such as by-laws, minutes of board and director meetings, election of directors, power of attorney, and all related documents and processes which are needed for filing and registration of such corporate legal documents;
Regular follow-up and report on new legislation/regulations and jurisprudence which are relevant for the business of Banco Société Générale Brasil S.A;
Monitor and report the status of legal claims of Banco Societé Générale Brasil S.A. (civil, labor, tax of administrative or judicial nature), in collaboration with external counsel; participate in the drafting and review of procedural documents and acts related to filing and progress of the legal claims;
General legal advice on regulatory, corporate and litigation matters, as may be needed;
Prepare and deliver internal reports related to legal fees, regulatory updates, legal claims and others as may be needed;
Support members of the Legal Department in all demands of the Legal Department, as may be needed.
Profile required
Brazilian Law degree;
Brazilian Bar Exam and registration before the "Ordem dos Advogados do Brasil" (OAB) in São Paulo/SP;
Prior experience as in-house counsel in financial institutions, companies or law firms;
Fluent English.
