**Job Description**:
Main Key Job Responsibilities:
- Provide legal assistance to CGG companies in Brazil and, whenever needed, to companies of the Group in LAM.
Advise business on variety of legal matters, mainly related to corporate, contractual and litigation in the segment of O&G industry.
- Provide legal advice to on a range of legal and commercial matters;
- Formulate the company's legal position and participate in meetings and negotiations;
- Working alongside other departments within the company and external stakeholders.
- Advise businesses and support functions on corporate law, particularly their various agreements (confidentiality, R&D, sale, purchase, rental, transport, charter, IT contracts, cooperation agreements, building leases);
- Draft of legal documents and contractual matters, considering standard CGG templates and principles;
- Help to formulate the general terms and conditions (purchasing, sales etc.)
of group entities and to modify them as needed;
- Produce studies, implement agreements, and comments on and revise the draft agreements submitted, at the request of business managers, in matters where routine management decisions can have substantial legal or contractual implications;
- List and request the preparation of various documents that will have to be provided for bids or due to legal requirements;
- Analyse/review tender offers and write related comments.
- Participate, along with operational managers, in final preparation of the comments on calls for clients & public tenders and contract negotiations;
- Assistance related to risk assessment and liabilities.
Alert management to negotiation bottlenecks that have a significant impact or are potentially risky;
- Assist and advise group operational entities regarding their contracts, as well as negotiation and monitoring of contracts;
- Implement and monitor intra-group agreements;
- Provide company secretarial support and handle various corporate legal affairs in routine;
- Ensure the corporate documentation of CGG legal entities are updated and produced according to the requirements imposed by the applicable legislation.
- Ensure that the legal department's databases are kept updated and modify it as required;
- Good organizational, prioritization and time-management skills
- Support to Compliance Department to reinforce the compliance with the internal controls, statutory regulations and other formalities
- Provide training to the company on legal topics.
- Provide litigation assistance (administrative and judicial) and related measures and also manage and monitor the pre-dispute, dispute and pre-litigation proceedings;
- Arbitration and mediation skills
**Qualifications**:
Typical Background:
- Law Degree.
- Specialization in Business/Corporate Law.
- Legal Department of Multinational Companies or Law firms.
- Knowledge on Oil & Gas regulation, compliance matters and/or others applicable to CGG operations.
- Work experience with multinationals.
Languages:
- English (fluent)
- Spanish is a plus.
