Together, we are driving progress forward in a #OGJSRESPONSABILITIES Providing accurate, relevant, and timely advice to SBM on tenders and a variety of legal topics in support of SBM's Sales & Marketing and Tendering teams, in Brazil, from ITT stage up to Contract Award with a particular focus on client contracts for (i) Lease and Operate for Floating Production Storage and Offloading vessels (FPSOs) or Floating Storage and Offloading vessels (FSOs), (ii) EPC(I) contracts for all types of FPS including FPSOs, FSOs, Turrets, and contracts for services for various SBM business units and technology framing..
Drafting, reviewing, and negotiating various commercial contracts and agreements and advice to the Business including charter contracts, operation contracts, EPC(I) contracts, sale and purchase, service agreements and related ancillary contracts such joint venture/consortium agreements, quiet enjoyment letters, MOUs, etc Assessing, proposing and managing, adequate mitigation and strategic management of legal risks to the Business.
Reporting and updating LCCI Leadership Team, head of Legal and business stakeholders on key legal issues and risks, including lessons learnt and improvement areas for the business.
Managing and prioritizing tasks to meet deadlines from the relevant stakeholders often within tight timeframes.
Ensuring compliance with all laws and regulations that apply to the business.
Promoting legal, compliance and risk management best practices throughout the company.
Communicating with and managing certain third-parties such as external counsel, experts and/or auditors in line with SBM legal services procurement processes (including providing feedback on legal panel performance).
Staying up to date with changes to relevant legislation and case law.
REQUIREMENTS Law degree and a valid license from the Brazilian Bar Association.
Fluent in English (spoken and written).
PQE as in-house lawyer or in private practice.
Proven experience in the oil and gas industry, particularly bareboat charters, operate and services contracts.
Proven experience in tenders and negotiations with NOCs and IOCs in Brazil.
Proven experience in drafting/negotiating contracts, amendments, letters, notifications and documents.
