Job Responsibilities: Supporting mostly the investment banking area, with engagement in other areas of the bank Reviewing, drafting, and negotiating documentation for credit transactions, with an emphasis on project finance and on DCM transactions, as well as on other typical banking and securities transactions, including bilateral or syndicated credit agreements, reimbursement agreements, guarantees, security agreements, intercreditor agreements, and engagement letters Managing legal risks aiming at protecting the bank Facilitating transactions by providing proactive, business-oriented and creative advice, always observing the applicable banking and securities regulations Advising on specific legal cases as well as strategic and political matters of legal and regulatory nature Informing business lines of relevant developments in the law and regulation thereby offering legal education accordingly Working closely with the front office and other internal stakeholders to assist with the structuring and coordination of credit transactions Supervising and managing external counsel as appropriate Qualifications: Bachelor degree in law and admission to a Brazilian BAR (OAB) is required; and be a member of good standing of such bar Experience at a law firm or in-house legal department advising financial institutions on bilateral and syndicated commercial lending transactions with substantial experience in structured finance transactions.
Broad experience in general credit transactions, including secured lending transactions, structured finance, cross-border financing is preferred Former experience as in-house counsel in financial institutions is a plus Excellent legal (verbal and written) and analytical skills Fluency in English is required Strong communication skills to deal with counterparts in Brazil and other jurisdictions Microsoft office skills Benefits: Health and life insurance; Meal and Food allowance; Transportation assistance; Gympass partnership.
