They should be based in São Paulo, Brazil and will be responsible for providing strategic legal advice and counsel in all areas of law, to further the interests of the business globally, while protecting the company's rights, interests, and reputation.You will be responsible for:Legal Support and Contracts:Provide legal support to commercial teams and functional areas, on projects and initiatives that are deployed by or for the One Vision Businesses, including preparing, reviewing, negotiating, and implementing complex and innovative commercial agreements, as well as strategic legal advice on a wide range of proposed business initiatives and projects in different areas such as sales and marketing, tenders, regulatory affairs, ethics and compliance, privacy, indirect channel management, and Mergers & Acquisitions.Investigations / Audit:Definition of Investigation strategyProvide documents and explanations on audit requests.Review the audit report, comment on the findings and work together with HCC on MAPs.Risk Assessment:Contract termination: participate in discussions, strategic action plan, transition plan, draft and negotiate all related documents.Support with risk assessments regarding quality or regulatory issues.Corporate Governance / Committee/Policy/Consultancy/Contract:Analysis of bills/new regulations and impacts to the business.Review and provide legal advice on SOPs and Corporate Policies.Review marketing materials and internal communications.Create and improve templates and processes.Be responsible for supporting industrial activity, providing legal advice, participating in strategic meetings related to R&D and plant; formalization of contracts with suppliers of inputs to produce One Vision products.Litigation (judicial and extrajudicial):Participate in the litigation process, by providing documents and information to the cross-sector team, participating in the definition of the case strategy, identifying and advocating for dispute opportunities to defend the company's interests; and performing managerial review of the litigation portfolio and identifying how to prevent future risks.Be responsible for the routine of judicial and extrajudicial contentious issues (civil, criminal, environmental, and regulatory matters), participating in strategic discussions, discussions to build the budget for these demands, and daily routine in controlling activities related to processes, including direct interaction with internal customers, and coordinating law firms.Budget administration:Partial Monitoring and Management of One Vision Legal Department Budget (negotiation of legal fees with Legal Operations).General Responsibilities:Provide general legal support and strategic legal counsel as a strong business partner.Work closely with business management to address issues and risks.Legal review of transactions and business projects.Draft, review, and negotiate various commercial contracts and legal documents.Assess, manage, and prevent legal risks associated with business initiatives, new business models, and the changing regulatory environment.Work closely with the Compliance Team in advising on and supporting compliance with applicable policies, codes, and laws.Provide counsel on, and manage, government inquiries.Train and educate others on the policies, codes, and laws applicable to the Medical Device companies and businesses.Support litigation and dispute management.Collaborate with other Law Department members in LATAM and worldwide to ensure consistent and coordinated legal support.Qualifications:Between 6 and 8 years of experience.Comprehensive experience as a business attorney for a commercial operating company, healthcare association, or comparable business/legal experience or robust experience in private practice in the industry. Experience in the Medical Devices Industry is a plus.Good understanding of the healthcare markets, including legal, compliance, tenders, regulatory, and marketing.
