Description: .Local: São Paulo/SP - HíbridoPosition OverviewAs a TR broker, you will be responsible for advising on and structuring insurance capital solutions to support and facilitate M&A transactions.
Typically, you will advise sellers on achieving a disposal with no or limited residual exposure for breaches of warranties; or support bidders in obtaining a competitive advantage in a competitive auction process.
Working with a range of private equity funds, corporates and their legal advisors, this will include reviewing acquisition agreements and due diligence materials to structure solutions providing alternative and/or enhanced recourse solutions for breaches of the warranty suite and other identified risks within a transaction.This position will be located in São Paulo but have a regional mandate while having a focus on developing the broader M&A business for Marsh in Brazil.
This includes other advisory products such as risk and insurance due diligence and employee health and benefits consulting in M&A transactions.Key Responsibilities :Build and maintain relationships with the M&A community, including financial sponsors, corporates, law firms and other advisors.
Act as a subject matter expert and resource for the client executive community at MarshUndertake in-depth analysis on each client transaction to understand all potential risks associated with the deal and advise on possible M&A insurance solutions.Assist with negotiations with insurers to develop enhanced and bespoke policy wordings and coverage positions working closely with our teams in London and New York.Provide strategic advice to clients on how M&A insurance products can be introduced to a transaction process enabling them to achieve their strategic objectives.
Assist in the policy and coverage negotiation process to ensure that the client's commercial objectives are achieved.
Work with colleagues across the PEMA division to ensure all available M&A services are introduced to the transaction.Requirements:2-8 year lawyer with proven in-practice experience of corporate law is essentialPrevious experience of working on private equity or M&A transactions is highly beneficialProven experience of developing (and documenting) client acquisition/disposal strategy (e.g.
warranty package, limitation/recourse structure) and negotiating in support of that strategy is highly beneficial
