Objective:
Work with Brazilian tax matters in connection to domestic and cross-border transactions, while also providing the opportunity to work on projects in other jurisdictions.
Responsibilities:
Tax planning and advice, managing administrative and judicial tax litigations related to our Brazilian wholly and part-owned investments;
Providing expert and strategic tax advice to our management and decision makers;
Provide internal consultancy on the tax legal aspects of complex projects (domestic and cross-border) to guarantee tax compliance, mitigate risk and optimize results;
Provide tax technical support in connection with tax benefits and special treatments;
Provide tax technical support in due diligence and M&A transactions;
Be a key contributor to Tax Working Groups in Hydro Rein part-owned investments, adding value to tax technical discussions and providing support to handle complex tax matters;
Managing and coordinating external tax advisors and relations to investment partners and service providers;
Interaction with Federal, State and Municipal Tax Authorities in connection to tax matters;
Support on tax inspections aiming to provide proper information regarding the companies' activities and act preventively in connection with any tax dispute;
Define strategy, coordinate and review proceedings prepared by external lawyers to guarantee the best strategy adopted and proper arguments. Follow up on chances of loss for tax disputes and litigation;
Support in connection with internal and external audits related to tax matters;
Responsible for tax advice and support to 1 Brazilian wholly-owned entity and 42 part-owned entities;
Possibility to work on projects in other jurisdictions.
Academic Background:
Law Degree;
Tax Specialization.
Mandatory Requirements:
Fluent in Portuguese and English is mandatory;
Minimum 7 years' experience in Law Office and Corporations with Tax Advisory and Litigation;
Experience in transactional support, including advising on tax consequences of bids, covenants & guarantees and contracts in general;
Experience in discussing tax matters with an accounting perspective;
Experience in M&A transactions and Corporate Reorganizations in general (tax legal due diligence);
Experience in International Taxation (Transfer Pricing, Double Tax Treaties, BEPS, etc.).
Desirable:
Experience in managing complex administrative and judicial tax litigations;
Experience with Tax Benefits and Special Treatments (Validity, Requests, Negotiations, etc.);
Experience with Tax Rulings.
